Adam Blythe is an energy lawyer with a focus on oil and gas related transactions. He has experience working on mergers and acquisitions, project development, joint venturing and other commercial arrangements in the upstream, midstream and downstream sectors. Adam has particular experience of African and cross-border transactions.

Advised the Mnazi Bay contractor group on their gas sale arrangements to the Tanzanian gas aggregator

Advised Puma Energy on its acquisition of Exxon Mobil’s downstream business across five Central American jurisdictions

Acted for Valero on its $1.7 billion purchase of Chevron’s downstream business in the U.K. and Ireland,  including the Pembroke refinery

Advised Oando on its acquisition of interests in two producing deep offshore fields in Nigeria from Shell/Eni

Advised Murphy Oil on its farm-in to two blocks in Namibia

Advised an international oil and gas company on its bid to acquire producing and exploration interests from Statoil in the UK/Norwegian North Sea

Advised a Chinese SOE purchaser on its due diligence, structuring and purchase advice on its bid to acquire a participating interest in the Area 4 concession in Mozambique

Advised an explorer on its farm-in into two blocks in Somaliland and amendments to the related production sharing agreement

Acted for the upstream contractor on its arrangements to construct gas processing facilities in Tanzania and the connection and tie-in arrangements to the national pipeline infrastructure

Advised Melrose Resources on its oil and gas due diligence in Algeria, Kurdistan and Italy in relation to its reverse takeover of Petroceltic

Advised Oando on its farm-in into an oil field in Nigeria and its technical services arrangements

Acted for a technical services company on its joint venture to establish an oilfield and technical services company in Nigeria

Advised a gas producer on its gas supply arrangements to an emergency power generator in Cameroon

Advised Asia Oil Terminal Services in relation to the storage agreements  and terms of operation in relation to its project to develop a crude oil storage terminal and jetty at Pahang, Malaysia.

Advised an upstream oil and gas company on its model commercial agreements, including JOAs, farm-in and financing arrangements, technical service agreements, service provider agreements and joint venture agreements

Advised an international energy company on its project to construct and operate an offshore mooring point, terminal and pipeline in Nigeria

Advised an oil and gas company on its bid to acquire interests in two fields offshore Ghana

Advised an energy company on its bid to farm-in into two participating interests in oil fields in Kenya

Advised the operator of a gas field on its compressed natural gas project in Tanzania

Advised the sponsors on a project to construct storage facilities in a free trade zone in Nigeria

Advised a bidder on its prospective purchase of a significant African downstream business operating across 20 jurisdictions in the continent

Advised Oando on the acquisition financing for its purchase of producing interests in two fields in Nigeria (EMEA Finance African Oil and Gas deal of year 2010)

Advised the arrangers of a facility to an international energy company to fund acquisitions of upstream interests in Indonesia and Thailand

Acted for an oil exploration/production company on a prepayment financing for production won from its field in Congo

Acted for the lead arranger on its $120 million syndicated facility to fund trade financings and projects by an international bank

Advised the National Development Corporation of Tanzania on its procurement of, and joint venture arrangements with, a Chinese sponsor for the development of a $3 billion coal to power and iron mine and smelter project in Tanzania (winner of the FT Most Innovative Law Firm in Finance award 2012)

Advised the sponsor on the acquisition of interests of Nigerian power generating and distribution companies and assets in the first Nigerian power privatization round

Advising a lender on its position in the winding-up and restructuring of an IPP company in Tanzania
