Tracy London has more than 19 years of experience as a non-contentious construction lawyer in the energy, oil and gas, power, renewable, infrastructure and mining industries. Her practice is focused on preparing and negotiating front-end engineering and design (FEED), engineering procurement and construction (EPC) contracts, operation and maintenance (O & M) contracts and other construction-related documentation, procured both traditionally and under project finance structures in the U.K. and internationally.

Tracy is recognised for construction in Legal 500 UK as a “wind turbine expert.”

Oil and Gas
SDAG (consortium of Gazprom, Total and Statoil) on the procurement aspects of the $25 billion Shtokman offshore development, as well as the integrated gas, condensate and processing aspects of the project, Russian Federation including in the drafting and negotiation of various offshore EPC packages.

Sumitomo Chemical Co., Ltd in advising, drafting and negotiating multiple interlinking FEED contracts, EPC contracts and technology related contracts (engineering agreements, license agreements and guarantee agreements) in connection with the Rabigh refinery expansion and petrochemical project in Saudi Arabia (with total project value of circa US$9.8 billion, Rabigh is one of the world’s largest integrated refinery and petrochemical complexes).

The developer in the construction aspects of US$15 billion refinery, petrochemicals and gas-processing complex.

Lenders in the construction and O&M aspects of $1.24 billion oil refinery upgrade and expansion in Costa Rica.

A developer on some of the construction documentation for a proposed petrochemical complex in Russia.

A sponsors on various bespoke EPC contracts relating to LNG facilities in Mexico.

An Investor in relation to various oil refinery projects.

Mining
Sponsors in relation to the construction and O&M aspects of various gold mines including the expansion of a potential mine in Burkina Faso.

A syndicate of lenders comprising emerging market funds and hedge funds on the construction aspects of the project financing of US$216 million Jabaili Zinc Oxide mine in Yemen (this is the first project finance transaction to close in Yemen).

Western Mining Corporation in advising, drafting and negotiating the construction and O&M aspects of the $2 billion project for the expansion of the Olympic Dam mine in South Australia for mining of uranium as well as gold, silver and copper.

Nuclear experience
Horizon Nuclear Power (the RWE and E.ON Joint Venture) on the procurement and construction arrangements for up to 6 GW of new nuclear power plants in the U.K. including the drafting and negotiation of appointment of the various consultants, early works agreements, the documentation for the tender process for the choice of technology vendor, FEED agreements, stage agreements, preferred vendor arrangements and EPC contracts.

EDF on the new nuclear programme in the U.K.

Societata Nationala Nuclearelectrica (SNN) on the development of Units 3 and 4 of the Cernavoda nuclear power plant.

A Russian entity in structuring a joint venture for both the development and implementation of new nuclear projects.

Power (other than renewable and nuclear)
Viridian Power in advising, drafting and negotiating an EPC contract and a LTSA with an international contractor with regard to the construction of a new 400 MW CCGT power station in the Republic of Ireland.

ABN Amro and Rand Merchant Bank in relation to the EPC Contracts and O&M contracts for the project financing for two peaking power stations in South Africa (these are the first two IPP projects in South Africa).

BG Tunisia in advising, drafting and negotiating an EPC contract relating to a 515 MW CCGT power station in Tunisia, including dealing with issues arising in the EPC contract from the Power Purchase Agreement and the Concession Agreement.

Marubeni (in joint venture with Alstom) in advising, drafting and negotiating a proposed EPC contract in relation to 500 MW Chichoki Mallian IPP in Pakistan.

Potential lenders in relation to a desalination project in Oman in relation to the draft EPC contract and related WPA.

Preparing and advising on various EPC Contracts for coal fired, combined cycle gas power stations and IGCC projects.

Wind experience
Vestas in excess of ten years on numerous projects in the UK, Belgium, Bulgaria, Croatia, Benelux, Holland, Italy, France, Romania, Poland and Africa including drafting and negotiating the contract for the supply and installation of wind turbines and the service and availability agreement and ancillary agreements in relation to wind farms including:

  • Round 2 wind projects forming part of the REIPPPP initiative in South Africa
  • Lake Turkana Wind Farm, one of the largest onshore wind farm development in Africa (awarded African Renewables Deal of the Year 2014by Project Finance International and the African Renewables Deal of the Year 2014 by IJ Global Europe and Africa Awards 2014)
  • Bligh Bank Offshore Wind Farm in Belgium (awarded Infrastructure Journal's Renewables Deal of the Year 2009)
  • 300 MW Thanet Offshore Wind Farm in U.K.

Wind for Prosperity Project established by Vestas, in partnership with Frontier Investment Management, the Carbon War Room and others and seeks to bring clean affordable wind power to the most remote communities first in Africa and ultimately globally.  The first project is will be in Kenya which will centre on up to 13 Kenyan communities that are home to more than 200,000 people.

Lenders and investors on the construction and O&M aspects of various offshore wind farms in the U.K. and Europe (including the proposed 560 MW Dudgeon offshore Wind Farm in the U.K. and 576 MW Gwynt Y Môr Offshore Wind Farm).

Lenders on contracts for the supply, delivery and installation of wind turbines and the associated maintenance contracts in connection with the potential financing of the largest wind farms in Africa to date including 300 MW Tarfaya Onshore Wind Farm and 150 MW Taza Wind Farm projects in Morocco.

Lenders on contracts for the supply, delivery and installation of wind turbines and the associated maintenance contracts in connection with the financing of wind projects in the U.K., Europe and Africa.

Sponsors in relation to various offshore and onshore wind farm projects including 100 MW offshore wind farm situated off the Dutch coast of Edmond.

Renewables experience (other than wind)
Arabia Group, Hanwha Engineering and Construction, and Ennera on the project development and financing of its solar PV project in Jordan procured pursuant to Round 1 of Jordan's Direct Proposal Submission Process. The project is part of an initiative by the Hashemite Kingdom of Jordan to generate 850 MW of renewable energy per year and is one of the first to come online. This project is one of the “Seven Sisters” projects which has been awarded Middle East Renewables Deal of the Year 2014 by IJGlobal Middle East as well as Middle East Overall Deal of the Year 2014 by IJGlobal Middle East.
