Manuel Vera represents U.S. investors in the acquisition of companies and assets in Mexico and other Latin American countries, and represents their interests in cross-border project finance transactions and joint ventures. He also provides legal counsel to U.S.-based financial service institutions, energy companies and investment firms doing business in Mexico and other Latin American countries. Mr. Vera’s practice focuses on Mexican and international corporate and commercial law, particularly foreign investment, project finance, banking, energy, real estate transactions, labor, tax and regulatory issues affecting Mexican companies. Mr. Vera has advised clients in multiple engagements in more than a dozen of Latin American countries, with special emphasis on Mexico, Central America, Venezuela, Colombia, Brazil, Chile, and Argentina as well as Spain.  He has written material on a variety of topics including energy in Mexico.

Mr. Vera represents a number of global Fortune 100 and Fortune 500 corporations. For several years, he acted as the lead outside counsel for the Mexican financial division of two major U.S. corporations, and their numerous subsidiaries in the incorporation of their financial groups in Mexico.

Assist Plains Acquisition Corporation, a subsidiary of Freeport-McMoRan Oil & Gas, with the registration, preparation of all bid documents, prequalification and related matters for the First Bid (exploration and extraction oil contracts) and Second Bid (extraction oil contracts) of Round 1 for shallow water blocks, issued by the Mexican government as result of the new Energy regime in Mexico.

Assist Plains Acquisition Corporation, with the corporate structure, formation process of a Mexican company and related activity for the participation of oil exploration and extraction activities under Round 1, issued by the Mexican government.

Assist a major US online retailer with the acquisition of a Colombian entity.

Assist Glencore on matters relating to the Mexico license bid round.

Assist Mexican energy company with the obtainment of a loan for the manufacturing of tank cars for the transportation of oil products and negotiations with Pemex for the sale of such tank cars.

Assist major foreign bank with potential financing/investment in a pipeline system under construction in Mexico.

Assist BG Group in connection with its new-country entry into Colombia and farm-in to Shell’s upstream acreage

Assist Crédit Agricole with credit facility for McDermott International, Inc. secured, among others, by several  Mexican entities.

Assist private equity fund with the potential acquisition of assets in Monterrey, Mexico.

Assist Key Energy Services, Inc. with the sale of its Argentinean subsidiary.

Advised Wells Fargo Bank in connection with the assignment from BNP Paribas to Wells Fargo of five oil and gas reserve based loans secured by companies in Colombia, Barbados, Bermuda, Canada, Cayman Island, Panama, the U.K., Spain and Peru.

Represented major energy production services company with a public bid of oil production contracts at Chicontepec onshore fields (Mexico).

Assist Crédit Agricole, as lead arranger, secured $400 million first-out letter of credit facility and $300 million second-out term loan B for McDermott International, Inc, with the securement of collateral from several Mexican subsidiaries of McDermott International in Mexico.

Assist Kinder Morgan in connection with the US$7.15 billion sale of El Paso's exploration and production business unit.

Assist a private equity fund with a potential acquisition of a maquiladora plant in Monterrey, Mexico.

Assist Kinder Morgan with the installation and operation of certain natural gas compression facilities in Mexico.
