Emily E. Leitch
Emily Leitch advises clients on capital markets transactions, mergers and acquisitions, financial restructurings , corporate governance and securities law compliance matters. Emily has experience representing issuers and underwriters in a variety of public and private securities transactions. Her experience includes initial public offerings, private investment in public equity transactions (PIPEs) and other public and private offerings of common and preferred equity securities, as well as high yield, investment grade and convertible debt securities. Emily has experience with transactions for master limited partnerships (MLPs) in addition to corporate issuers. Emily also represents buyers and sellers in a broad range of M&A transactions, including stock and asset purchases and sales, joint ventures and private equity investments.
Represented Energy & Exploration Partners, Inc. in a Rule 144A offering of convertible subordinated notes.
Represented an oil and gas exploration and production MLP in its proposed initial public offering.
Represented an oil and gas midstream MLP in its proposed initial public offering.
Represented the parent company of Venoco, Inc. in a Rule 144A offering of senior PIK toggle notes.
Represented Chesapeake Energy Corporation in multiple public offerings of senior notes.
Represented Magnum Hunter Resources Corporation in PIPE offerings of common stock.
Mergers and Acquisitions
Represented Heyco Energy Group in the sale of its subsidiary, Harvey E. Yates Company, to Matador Resources Co. in exchange for Matador stock.
Represented Tall City Exploration LLC in the sale of Permian acreage and production to American Energy – Permian Basin, LLC for $440 million.
Represented a private investor in a management buyout of publishing company in the global oil and gas industry.
Represented Phillips 66 Partners in the formation of a 50/50 joint venture with Plains All American Pipeline involving a pipeline system.
Represented Three Rivers Natural Resource Holdings III in $500 million equity commitment from Riverstone Holdings LLC.
Represented Bluescape Resources Company LLC in connection with an investment in MorningStar Partners, L.P.
Represented Bluescape Resources Company LLC in connection with a Services and Investment Agreement with EXCO Resources, Inc.
Representing an energy-focused private equity firm in the formation of a portfolio company specializing in the acquisition of mineral and royalty interests.
Represented Wells Fargo in the recapitalization of a privately held, oilfield services company in partnership with an investment firm focused on private equity and the company’s management team.
