Ian Brown advises a variety of business clients on corporate finance options such as initial public offerings, shelf offerings and Rule 144A offerings, as well as various corporate governance, securities law disclosure and stock exchange listing matters. He has particular experience advising clients in the energy industry, such as exploration and production companies, midstream companies, including master limited partnerships, oilfield service companies and marine transport companies.
Represented Enterprise Products Operating L.P. in its public offering of $500 million of 8.375 percent fixed/floating rate junior subordinated notes.
Represented Hercules Offshore Inc., a provider of drilling and liftboat services in the U.S. Gulf of Mexico, in its $184 million initial public offering.
Represented the underwriters in the $153 million initial public offering by Aries Maritime Transport Limited, an international shipping company based in Athens, Greece.
Represented K-Sea Transportation Partners L.P., a master limited partnership engaged in the maritime transportation of refined petroleum products, in its $98 million initial public offering.
Represented CenterPoint Energy Inc. in its Rule 144A private placement of $400 million senior notes and related exchange offer.
Represented CenterPoint Energy Resources Corp. in a series of Rule 144A private placement ofsenior notes and related exchange offers aggregating $922 million.
Represented Sandler O’Neill & Partners, L.P. in the offering of $65 million of subordinated notes by Independent Bank Group, Inc.
Represented a midstream natural gas services MLP in public offerings of $2.9 billion of senior notes.
Represented ConocoPhillips and its subsidiary ConocoPhillips Company in public offerings of $5 billion of senior notes.
Represented Sysco Corporation in its public offering of $750 million of senior notes.
Represented Phillips 66 in its private placement of $5.8 billion of senior notes and related exchange offer in connection with its separation from ConocoPhillips.
Represented Chesapeake Midstream Partners, L.P. in its private placement of $750 million of senior notes and related exchange offer, and in connection with secondary offerings by selling unitholders of over $525 million of common units.
Represented Orion Marine Group, Inc. in its $95 million follow-on public offering of common stock.
Represented Parker Drilling Company in public and private offerings of over $400 million of senior notes and convertible notes.
Represented Superior Offshore International, Inc. in its $175 million initial public offering.
Represented K-Sea Transportation Partners L.P. in a $22 million vessel acquisition from the Bay/Gulf Companies and Marpol Inc.
Represented Enterprise Products Partners L.P. in a $460 million acquisition of storage and splitter assets from Diamond-Koch L.P.

Represented Superior Offshore International, Inc. in the sale of the Superior Achiever, a DP-III deepwater construction and dive support vessel, to Hornbeck Offshore Services LLC for $70 million.
Represented Banco Santander, S.A., one of the world’s largest banks, in its acquisition of 90% of the U.S. auto financing company, Drive Financial Services., from HBOS plc and other shareholders for approximately $651 million.
