William D. Gutermuth
Bill Gutermuth’s practice consists principally of the representation of private equity funds, portfolio companies of private equity funds and management teams seeking financing from private equity funds. His practice includes the formation and capitalization of entities, ongoing governance and general corporate matters and merger and acquisition and other exit-related transactions. Although the majority of his clients are in some aspect of the energy business, he has also acted as principal outside legal counsel to public and private companies in the heating, ventilation and air conditioning industry, funeral service industry, metals processing industry, land care and property management industry and manufactured housing industry.
Bill has also acted as special counsel to audit committees, special committees of a board of directors and boards of directors seeking independent counsel on transactional and governance matters. He is recognized as a senior counselor to many of his clients and is often called on to consult on matters of transaction structure and negotiating strategy. He has served on the boards of directors of several public and private companies.
Bill served as the head of the Corporate and Securities Section of the firm and is a published author and frequent speaker on corporate governance and enterprise risk management topics.
Representation of a private equity fund in the organization, capitalization and ongoing legal matters of portfolio companies engaged in exploration and production activities in the Bakken Shale, Permian Basin, Utica Shale, Eagle Ford Shale, Marcellus Shale, Haynesville Shale, Piceance Basin and Williston Basin.
Representation of a private equity fund in the organization and capitalization of a pipeline owner and operator.
Representation of a buyer of gold mines.
Representation of an international energy company in the sale of its joint venture interest in a major terminalling operation in the Caribbean.
Representation of a public MLP in connection with commercial storage contracts at offshore terminals.
