Vivian Prieto represents commodity merchants, banks, investors, and private companies in a variety of financing transactions, mergers and acquisitions, capital markets transactions and structured transactions involving renewable energy and other energy commodities.

Prior to joining Bracewell, Vivian was an associate at a national law firm in New York.

Vertex Energy, Inc. — structuring and negotiation of an intermediation arrangement from Macquarie with respect to Vertex Energy’s 91,000-barrel-per-day conventional oil refinery in Mobile, Alabama, including term loan acquisition financing for the assets and related conversion in part to produce renewable fuels from a syndicate of lenders led by Blackrock and Highbridge

Vertex Refining Alabama LLC — structuring and negotiation of an intermediation working capital facility with respect to its renewable diesel plant, including financing of feedstocks (including soybean oil, tallow and used cooking oil) in Mobile, Alabama with Macquarie*

Global commodities merchant — structuring and negotiation of a working capital intermediation arrangement for a 3,500 barrel per day biorefinery located on the west coast of the United States, including financing of feedstocks (including animal fats and tallows), renewable fuels, related environmental attributes and tax credits

Agent/lead lender — borrowing base of $300 million dollars to a steel trading company, which included assets in Canada and Mexico

Castleton Commodities International LLC — $1.7 billion borrowing base credit facility, consisting of $100 million 3-year tranche; $1.25 billion 2-year tranche; $350 million 364-day tranche and $1 billion accordion*

Global commodities merchant — $2.63 billion revolving credit facility, consisting of $1.7 billion 3-year tranche; $920 million 1-year uncommitted tranche and $600 million accordion*

Start-up green hydrogen technology company — corporate structuring, IP negotiations and finance negotiations*

Investment firm — numerous acquisitions of various portfolio companies*

Salka LLC — acquisitions, project finance and project development of various California wind farms*
