Natasha Orehowsky


George Fatula is a member of the firm's energy practice. He focuses on energy-related transactions, regulatory matters, projects and controversies.

Mr. Fatula advises clients on a variety of transactional and project development matters involving natural gas, NGLs, and oil. He is active in advising natural gas, oil and liquids pipeline project developers in negotiating terms of service and navigating the regulatory and approval process for the development of new and repurposed pipeline infrastructure projects before FERC and other regulatory agencies. He also represents clients including storage providers, producers, marketers, and midstream service providers in commercial, transactional, and FERC regulatory matters, including on-going compliance, tariff and certificate proceedings and contested matters. He also has experience representing clients in FERC enforcement proceedings.

In addition, Mr. Fatula counsels energy industry clients on the implementation of the Dodd-Frank Wall Street Reform and Consumer Protection Act as it relates to derivatives regulation. He is actively involved in advising these clients on compliance with Dodd-Frank regulations and has drafted extensive comments and consulted with federal regulators regarding Dodd-Frank rules impacting energy commodity and derivatives transactions.

Mr. Fatula also has experience representing project sponsors and lenders in financing transactions involving domestic and international power projects, gas transportation and storage projects, and wind and other renewable energy projects.

Represents joint venture company in connection with its development of a new interstate natural gas pipeline, including FERC certificate issues and commercial agreements

Represented private equity company in regulatory matters in connection with acquisition of interstate natural gas pipeline and regulatory matters in connection with same

Represents natural gas company in connection with the development of a new 250 mile interstate natural gas pipeline, including negotiation and drafting of commercial agreements and regulatory matters

Represented international company in regulatory matters in connection with acquisition of crude oil pipelines in Louisiana  

Represents midstream company in development of a new oil pipeline from production area in Texas, including advising on FERC regulatory issues and drafting and negotiating with counterparties regarding transportation service agreements, pro forma FERC tariff and open season terms and conditions.

Represents pipeline company in development of a new oil pipeline project from North Dakota to Midwest and Texas Gulf Coast destinations, including advising on FERC regulatory issues, drafting and negotiating transportation service agreements, drafting FERC tariff, and open season terms and conditions. Also drafted and filed petition for declaratory order before FERC.

Represents midstream company in development of new 300 mile interstate natural gas pipeline to transport Marcellus shale production to market areas in the southeast, including drafting and negotiating precedent agreements with anchor shippers, preparing and planning regulatory filings, and advising on open season commercial and regulatory matters.

Prepared successful petition for declaratory order before FERC and obtaining approval for rate structure, terms and conditions of service for new interstate oil pipeline project.

Represented midstream company in $1 billion transaction involving sale of gas utility involving exchange of pipeline and storage assets and long term associated service agreements.

Represents midstream company in acquisition of Texas intrastate refined products pipeline system.

Represented independent power project developer in negotiating and drafting gas pipeline development and transportation agreements with municipality in connection with development of gas-fired power project.

Represents numerous energy industry clients (oil/gas producers, transportation providers, midstream service providers, utilities and commodity traders) in connection with implementation of and compliance with Dodd-Frank Act regulations.

Represented major exploration and production company in negotiating and drafting bilateral agreements with bank counterparties to govern Dodd-Frank compliance for future derivatives transactions.

Provides regulatory compliance training for oil and gas trading clients with respect to FERC and CFTC regulation.

Represented natural gas pipeline company in connection with shipper contracts for gathering pipeline project in the Marcellus shale region.

Represented energy trading company in defending FERC enforcement action alleging manipulation in regulated power markets.

Represented midstream company in drafting tariff and service agreements for planned condensate pipeline.

Represented natural gas producer in negotiating and drafting agreements to secure acreage dedication, gathering and processing for shale gas production.

Represented affiliate of major U.S. bank in negotiating and drafting crude oil supply agreement for a refinery in connection with nearly $1 billion acquisition of refinery and related pipeline assets and inventories.

Represented natural gas marketer in applying for and securing Department of Energy approval to export liquid natural gas (LNG).

Represented ethane shipper in contract dispute with NGL pipeline company.

Represented midstream natural gas company in connection with regulatory issues involved in expanding and changing ownership of gas gathering system.

Represented interstate natural gas pipeline in drafting and securing approval of revised FERC Gas Tariff.

Co-authored natural gas trading and marketing regulatory compliance handbook.

Represented interstate natural gas pipeline in securing FERC approval to abandon various certificated transportation facilities.

Represented interstate natural gas pipeline in drafting and securing FERC approval of settlement agreement resolving various issues between the pipeline and shippers.

Advised major exploration and production company on federal and state regulatory issues involved in $7 billion acquisition of various oil and gas operational and production assets.

Represented coalition of natural gas utilities in FERC rate case and related tariff proceedings.

Represented investors in evaluating several FERC-jurisdictional natural gas storage projects and related transportation assets.

Represented two major U.S. internet companies in negotiating and drafting power purchase and energy transmission agreements to serve energy-efficient data centers in Oregon and New York.

Represented gas marketing company in acquisition of portfolio of interstate pipeline and storage capacity.

Represented gas marketing company in negotiating and drafting agreements related to importation of LNG, including terminal use agreements and capacity release.

Represented international lenders in the financing of a 1,251 MW LNG-supplied power plant in Inchon, South Korea, and a related 284 MW bio-gas fired power plant in Gwangyang, South Korea.

Represented a power generation company in the acquisition and financing of a 271 MW combined-cycle gas fired power plant in Chihuahua, Mexico and a 252.4 MW combined-cycle, gas and diesel fired power plant in Campeche, Mexico.
