Bracewell Represents Sponsor in Project Finance International's Bond Deal of the Year

HOUSTON – July 8, 2010 – Bracewell & Giuliani LLP acted as primary securities counsel for Midcontinent Express Pipeline's September 2009 debut bond offering, a deal recently named the Americas Bond Deal of the Year by Project Finance International. The pipeline is a joint venture initially owned by subsidiaries of Kinder Morgan Energy Partners LP and Energy Transfer Partners LP. A subsidiary of Kinder Morgan oversaw construction and operates the pipeline.

Permanent financing for Midcontinent Express was provided through the Rule 144A issuance of $800 million in senior notes. The offering refinanced the construction of the 500-mile natural gas pipeline, which runs through Oklahoma, Texas, Louisiana, Mississippi, and Alabama. Bracewell drafted and negotiated the limited liability company agreements, the pipeline operating agreement, all financing documents, and provided tax counsel.
