Bracewell LLP’s public finance group is one of the largest public finance practices in the nation, with 30 attorneys actively practicing in our Texas and Washington, D.C. offices. In addition to serving as bond counsel and/or disclosure counsel for hundreds of issuers, our law firm represents underwriters, trustees, third-party credit providers, and borrowers in conduit financings. Our public finance tax attorneys have experience structuring finance options for our clients, from straight forward fixed rate new money transactions to complex variable rate refunding transactions, as well as representing clients in post-issuance compliance matters and IRS examinations, securing advance rulings from the IRS and seeking regulatory and legislative rule changes. The securities attorneys combine an acute understanding of the application of federal securities laws to both innovative and traditional public finance structures, regulatory experience in developing and enforcing SEC regulations, and proficiency in advising issuers and underwriters in securities transactions. We represent issuers, underwriters and their officials in regulatory and enforcement matters with the SEC, DOJ and State Attorneys General. One of our partners served as the first head of the SEC’s Office of Municipal Securities, participated in rulemakings and interpretations of Rule 15c2-12 and rules of the Municipal Securities Rulemaking Board, and previously as an attorney in the Division of Enforcement. Our clients range from state and local governments to universities, school districts, cities, counties, municipalities, regional mobility authorities, navigation districts and port authorities, special districts, publicly sponsored non-profit corporations, major healthcare providers, electric cooperatives, major arts organizations, and private entities who conduct business with public bodies.
