We advise pipeline companies on day-to-day operations and business problems, including crude oil, natural gas, liquids and gas marketing contracts.  Our oil and gas attorneys are experienced with the complexities of interconnect, exchange, and terminaling agreements that cover the processing, gathering, and transportation of natural gas and petroleum products by pipeline, truck, train and barge.  We also facilitate the construction and operation of jointly owned pipelines and the creation, operation and sale of interstate gathering systems.  Our pipeline industry transactional work includes such key issues as negotiating royalty payments, negotiating and resolving disputes over minimum payment contracts, and advising on state taxation of product and feedstock transportation.

We represent clients in the development and use of liquefied natural gas (LNG) liquefaction, regasification, and terminal and storage facilities in the U.S. and around the world.  Bracewell’s energy attorneys have significant experience in project development, regulatory, environmental, transactional, finance and tax issues relating to the development and use of these liquefied natural gas (LNG) facilities. With more than 30 years of experience in this sector, we are well versed in the regulatory issues and proceedings involving rates, transmission, interconnection, tariffs and rate schedules, transportation, sales, FERC enforcement actions and petitions for judicial review.

Our project development activities for LNG facilities have included the preparation of engineering, procurement and construction contracts and related bid documents for construction of facilities, land purchase and option agreements, agreements for the use of harbor and port facilities, seabed leases for the placement of undersea pipelines, and the negotiation of terminal capacity, gas supply, tolling and transportation contracts.  Our lawyers help clients secure all regulatory approvals required to import gas into the U.S. in both pipeline and LNG projects.  We handle Federal Energy Regulatory Commission (FERC) clearance of and environmental approvals for siting, construction and operation of LNG import terminals.
