Will Luedke’s practice focuses on mergers and acquisitions, corporate finance and regulatory and enforcement matters for financial institutions. He represents both buyers and sellers in mergers and acquisitions. Bracewell LLP has ranked in the top five in the nation in each of the last 15 years with respect to the number of mergers and acquisitions handled. From 1994 to 2014, Mr. Luedke served as head of the firm’s financial institutions group. From 2008 to 2013, he served as chairman of the firm’s associate evaluation committee, and from 1995 to 2006 he served as chairman of the firm's marketing and client relations committee.
Mr. Luedke also represents financial institutions and underwriters in connection with initial public offerings and the private placement of debt and equity securities. He has significant experience in chartering de novo financial institutions, Subchapter S elections, bank holding company formations and enforcement matters resulting from regulatory examinations. Mr. Luedke routinely advises boards of directors regarding fiduciary duties, Sarbanes-Oxley and other corporate governance issues, and has overseen a number of internal corporate investigations related to financial institutions. He also has extensive experience in helping financial institutions with identifying, evaluating and managing institutional exposures to risk, including Asset Liability Committee shock tests and financial modeling required under Dodd Frank.
