Suchita Woodward is a transactional lawyer focusing on the global energy sector. She has a particular emphasis on structured energy financings, mainly in the oil and gas and power sectors, where she advises banks, international financial institutions and borrowers in structuring complex cross-border financings. She has experience with reserve based lending, acquisition finance, corporate finance, syndicated lending, mergers and acquisitions and general corporate and commercial matters, within the energy space.

Representative Matters

Advised a syndicate of 5 lenders on a US$340 million borrowing base facility for Oranje-Nassau Energie, based on oil and gas assets in the UK, Netherlands and Gabon; the transaction was coordinated by ING Bank N.V. as documentation bank and facility agent, and ABN AMRO as security agent

Advised Seplat Petroleum Development Company on a US$1.7 billion financing (comprising a revolving facility with international banks and a reserve based facility with Nigerian banks) in relation to oil and gas assets in Nigeria

Advised a group of 25 lenders on a US$2.5 billion secured loan and letter of credit facility for Lundin Petroleum, based on oil and gas assets in France, Indonesia and the North Sea; the transaction was coordinated by HSBC as documentation bank and BNP Paribas as facility agent and security trustee, along with 15 other lead arrangers (‘European Upstream Oil & Gas Deal of the Year 2012’, Project Finance Awards)

Advised Energy Equity Resources with respect to various corporate matters concerning OPLs and OMLs in Nigeria in which it had an interest, including the negotiation of a settlement agreement with SacOil

Advised a bidder in relation to its bid for certain North Sea upstream oil and gas assets

Advised BNP Paribas and The Bank of Nova Scotia as mandated lead arrangers on the amendment and restatement of a US$900 million revolving facility for EnQuest plc into an up to US$1.7 billion revolving facility, based on its North Sea assets

Advised Depthwize Nigeria Limited and Megadrill Services Limited on a US$100 million facility arranged by JP Morgan and Africa Finance Corporation to finance the acquisition and refurbishment of High Temperature High Pressure swamp drilling rigs.

Advised First Hydrocarbon Nigeria on an up to US$230 million acquisition borrowing base facility for the acquisition and development of Oil Mining Lease 26, onshore Nigeria

Advised First Hydrocarbon Nigeria on the financing arrangements for the acquisition of Oil Mining Lease 113

Advised the international sponsor consortium (Marubeni, JGC Corporation and Al Jomaih) on a US$530 million project financing of the Saudi Aramco Cogeneration projects, to be located at Abqaiq, Hawiyah and Ras Tanura in the Kingdom of Saudi Arabia, including loans from the Export-Import Bank of the United States (Ex-Im Bank), Saudi Riyal and US Dollar commercial facilities and a local Islamic facility

Advised a bidder in relation to one of the 2014 Shell divestments in Nigeria

Advised an E&P company on certain proposed arrangements relating to Marine XII block in the Republic of Congo

Advised HSBC on a US$50 million senior secured borrowing base facility for the IPR Group, to refinance existing facilities and finance the development of IPR’s petroleum assets in Egypt

Advised Core Energy on a US$90 million senior borrowing base facility and a US$60 million junior term loan facility to finance the acquisition of interests in oil and gas assets in the Norwegian North Sea

Advised Sea Dragon Energy on a US$50 million reserve-based loan and letter of credit facility provided by HSBC and BNP Paribas to finance Sea Dragon's petroleum assets in Egypt

Advised BNP Paribas, HSBC, International Finance Corporation (IFC) and 24 other commercial banks on the UK market's largest borrowing base facility at the time, US$3.5 billion senior and junior secured credit facilities for Tullow Oil involving oil and gas assets in Africa and the North Sea

Advised Deutsche Bank and IFC on a US$160 million Facility for Kuwait Energy's assets in Egypt and the Ukraine
