Ongoing representation of Alinda Capital Partners and its co-seller in a definitive agreement to sell a local gas distribution company with operations across four states to Black Hills Corp. for $1.89 billion.
Represented a private equity firm in its acquisition of a 185 MW natural gas-fired peaking facility from Exelon.
Represented Riverstone in its acquisition of 2,649 MW of primarily coal-fired generating plants located in Maryland from Constellation Power Source Generation, Inc.
Represented Wayzata Investment Partners LLC in multiple acquisitions of power generation assets at the Gila River Power Station in Maricopa County, Arizona, from Entegra Power Group LLC.
Represented Wayzata Investment Partners LLC in its acquisition of the Guadalupe Power Station in Marion, Texas, from Public Service Enterprise Group.
Assisted with the representation of Kohlberg Kravis Roberts & Co. in the financing of a $45 billion acquisition of a significant U.S. integrated utility company with electric power generation, transmission and distribution, and retail sales operations (co-counsel).
Represented BG Group plc in its $450 million sale to Energy Capital Partners of three Northeastern United States power plants.
Represented CPS Energy, the nation's largest municipal utility, in its acquisition of services and products necessary for the development of advanced metering infrastructure and distribution automation system for Smart Grid networking.
Represented the City of Lubbock in its acquisition of Xcel Energy’s electricity distribution system within the city.
Assisted with the representation of BG Group plc in the $150 million acquisition of a Northeast cogeneration facility.
Assisted with the representation of Complete Energy Holdings in connection with its $1.3 billion merger with GSCAC Acquisition Company.
