Terry Morris


Ron Erlichman’s practice focuses on the finance and development of domestic and international energy, infrastructure and real estate projects. His work includes experience with a wide array of assets, including power generation facilities, upstream and midstream assets, renewable projects, chemical and petrochemical facilities, terminals, transportation projects, hospitality projects, social infrastructure projects, sports and entertainment venues, and mixed-use developments.

Ron counsels his clients in connection with all aspects of the development, construction, finance (including financial restructuring), purchase, and sale of these assets. He has experience working with lenders, private investment funds, developers, and sponsors, including multi-national public and private corporations, governmental entities and non-profit entities. Ron also has expertise in the representation of both private and public sector entities in connection with public private partnerships (PPP) related to transportation, hospitality, sports venues, and social infrastructure projects.

Between 2007 and 2009, Ron split his time between the firm’s New York and Dubai offices representing clients throughout the Middle East. He currently spends a portion of his time in the firm's Houston office working with clients on projects in the energy and infrastructure space and serves as hiring partner for the New York office.


Representing Apex Compressed Air Energy Storage LLC in connection with the development, construction and financing of a compressed air energy storage development project

Represented Sumitomo Mitsui Banking Corporation as sole lead arranger, administrative agent and collateral agent in connection with the project financing of the acquisition of a 121 MW dual fuelled, combined cycle power generation facility located in Florida with an expiring tolling arrangement (2013)

Represented Rockland Capital and La Paloma Generating Company LLC in the refinancing of $301 million of first-lien term project debt and $65 million of first-lien working capital facilities for a 1,022 MW natural gas-fired, combined-cycle power generation facility located in California (2013)

Represented Macquarie Bank Limited in the project financing of a roof top solar facility for Just Energy Group Inc.’s subsidiary, Hudson Solar (2013)

Represented Société Générale in the connection with the disposition of its entire United States real estate loan portfolio consisting primarily of bilateral project financings of office properties (2011)

Represented Société Générale in the connection with the $100 million refinancing of a portfolio of office properties located in California (2011)

Represented Plum Point Energy Associates LLC in the $819 million project financing and term conversion of a 665 MW coal-fired power generation facility (2010)


Representing Texas Medical Center in connection with the development and construction of the proposed $1.5 billion TMC3 research translation campus

Representing Museum of Fine Arts Houston in connection with the $450 million expansion and redevelopment of its current campus, including structuring an economic development agreement in connection with the project

Representing San Antonio Spurs in connection with the modernization of the AT&T Center

Representing Houston Livestock Show & Rodeo in connection with the initial development, leasing, financing and sponsorship of NRG Stadium (then Reliant Stadium) as well as ongoing matters related to NRG Park

Represented Kinder Morgan Energy Partners in connection with the acquisition, redevelopment and divestiture of an anhydrous ammonia and fertilizer terminal in Florida, including the partial unwind of an industrial revenue bond sale-leaseback structure and the terminaling and handling agreements associated with the facility (2013)


Representing Corsán-Corviam Construcción as a key member of one of the short-listed groups bidding on the north portion of the Illiana Corridor and I-65 Added Capacity project

Representing the City of San Antonio in connection with the $263 million development, construction, lease and operation of the Grand Hyatt Convention Center Hotel in San Antonio, Texas, including a subsequent condominiumization and recapitalization of the project

Represented Corsán-Corviam Construcción in connection with the negotiation of a Design-Build Agreement and corresponding Public Private Agreement for the construction and financing of upgrading 21 miles of existing State Road 37 (a four-lane median divided highway) between Bloomington, IN and Martinsville, IN which provided for Milestone Payments and Availability Payments (2014)

Represented the Kinder Foundation in connection with the $215 million public-private partnership for the development and financing of the Bayou Greenways 2020 project to create an interconnected park and trail system along each of the ten bayous located in Houston, Texas, including the structuring of a synthetic TIRZ financing mechanism (2013)

Represented the Kinder Foundation in connection with the $75 million public-private partnership for the development and financing of the Buffalo Bayou project in Houston, Texas (2010)
