Lytch Gutmann represents public and private companies, master limited partnerships (MLPs) and special committees in a variety of corporate transactions, including mergers, acquisitions, entity formation, capitalization and dissolution, joint ventures, and other business combinations and ongoing governance matters. Her representation of private companies includes advising private equity funds, portfolio companies of private equity funds and management teams seeking financing from private equity funds. Lytch’s practice focuses on the midstream and upstream energy industry. Lytch’s recent experience includes acquisitions and divestitures of pipelines, bulk storage terminal facilities and other midstream companies and assets. 


Represented the Conflicts Committee of the Board of Directors of the general partner of Tallgrass Energy Partners, LP in TEP’s acquisition of a 33.3% interest in Tallgrass Pony Express Pipeline, LLC for $600 million and its subsequent acquisition of an additional 33.3% interest in Pony Express Pipeline for $700 million

Represented Vopak North America Inc. in its sale of three storage terminal facilities and undeveloped land to a subsidiary of Kinder Morgan, Inc. for $158 million

Represented UNOCAL, a member of the Chevron Group, in its sale of the Beaumont Terminal to Phillips66

Represented Ursa Resources Group II LLC in its purchase of pipeline and gas assets in Colorado’s Piceance Basin from Antero Resources Corp. for approximately $325 million

Represented Kinder Morgan Inc. in its drop down of 50% of Ruby Pipeline, 50% of Gulf LNG and 47.5% of Young Gas Storage to El Paso Pipeline Partners, L.P. for approximately $2 billion

Represented Kinder Morgan, Inc. in its drop down of 50% of El Paso Natural Gas Company, L.L.C. and 50% of former El Paso Midstream assets in Utah and South Texas to KMEP for approximately $1.655 billion

Represented Kinder Morgan, Inc. in its drop down of 100% of Tennessee Gas Pipeline and a 50% interest in El Paso Natural Gas Company, L.L.C. to Kinder Morgan Energy Partners, L.P. for approximately $6.22 billion

Represented a subsidiary of a master limited partnership in its acquisition of storage terminal facilities and a connecting pipeline

Represented private equity funds in their equity investments in various portfolio companies engaged in exploration and production and midstream oil and gas activities.

Represented a public transportation and energy storage company in its sale of various transload and bulk storage terminal facilities

Represented a public company in its sale of litigation judgments

Represented a public company in its multiple divestitures of pipelines, storage facilities and other midstream assets

Represented a biopharmaceutical company in multiple rounds of equity raises and day-to-day corporate matters

Represented a medical research and treatment center in various joint venture investments

Ongoing representation of various portfolio companies of a private equity fund in day-to-day corporate matters
