About Gray

Gray Muzzy has represented and counseled oil and gas exploration and production companies, pipeline companies, developers, purchasers and sellers for over 30 years in both upstream and midstream transactions, including mergers and acquisitions, exploration, production and development agreements, transportation and processing agreements. 

Gray served for four years as senior vice president and general counsel at a Fortune 500 company with more than $3.5 billion in revenue and 30,000 employees across the country. As a former general counsel, he has a firsthand appreciation of the challenges facing in-house counsel and the need for practical, solution-based advice.

Chevron U.S.A. Inc. — sale of its LPG Storage Terminal located in Ferndale, Washington to Petrogas Inc.

Chevron U.S.A. Inc. — represented Chevron Pipe Line Company in the sale to Crimson California Pipeline, L.P. of Chevron’s KLM pipeline system, consisting of approximately 300 miles of crude oil pipeline running from California’s San Joaquin Valley to San Francisco Bay area refinery connections

Chevron U.S.A. Inc. — represented Union Oil Company of California in its sale of its terminaling facility located in Nederland, Texas, to Phillips 66 Gulf Coast Properties LLC

DCP Midstream, LP — negotiating a Gas Gathering and Processing Agreement with Kerr-McGee Oil & Gas Onshore LP for the gathering and processing of gas production from the Wattenberg Field in northeastern Colorado, to be processed under a percentage of production arrangement

Leading North American pipeline and midstream company — acquisition from Equitrans, L.P. of all the membership interest of Big Sandy Pipeline, LLC, owner of the Big Sandy Pipeline located in Kentucky

Leading North American pipeline and midstream company — acted as joint venture counsel in negotiating the joint venture agreement and related agreements for Nexus Gas Transmission, LLC, whose members consist of Spectra NEXUS Gas Transmission, LLC (50 percent) and DTE NEXUS, LLC (50 percent)

Freeport-McMoRan Oil & Gas, LLC and its affiliated companies — sale to Black Stone Minerals Company, L.P. of a package of mineral fee interests, overriding royalty interests and royalty interests located in a over a dozen states

Freeport-McMoRan Oil & Gas, LLC — acquisition from Shell Offshore, Inc. of multiple federal offshore oil and gas leases and related production facilities located in the Gulf of Mexico

Concho Resources, Inc. — represented COG Operating LLC in a like-kind exchange with Clayton Williams Energy, Inc. of multiple non-producing properties located in the Permian Basin in Texas
