Gray H. Muzzy
Gray Muzzy represents and counsels exploration and production companies, pipeline companies, developers, purchasers, sellers, borrowers and lenders in all aspects of energy and energy-related transactions, including oil and gas, electric power, liquefied natural gas (LNG), and gas and liquids pipeline transactions. These transactions have included mergers and acquisitions, exploration, production and development agreements, transportation and processing agreements, farmouts, participation agreements, engineering, procurement and construction agreements, fuel supply leasing, and electric power sales agreements.
Mr. Muzzy’s practice also encompasses the representation of financial institutions, private equity providers and borrowers in equity and debt financings, including borrowing-based facilities for oil and gas development companies, monetization of oil and gas contracts, production payments and project development financings.
Mr. Muzzy joined Bracewell LLP in 1981. In 2000, he joined a Fortune 500 company with more than $3.5 billion in revenue and 30,000 employees across the country, as senior vice president and general counsel, returning to the firm in 2004. As a former general counsel, he has a firsthand appreciation for the challenges facing in-house counsel in today’s market.
In two separate transactions, represented the seller in a $1.5 billion sale and $1.3 billion sale of producing properties in Colorado, New Mexico, Texas and Utah.
Represented the seller in a $150 million sale of producing and undeveloped acreage in the Fayetteville Shale in Arkansas.
Represented the purchaser in a $210 million acquisition of producing oil and gas properties in Oklahoma, and in negotiating Prospect Development Agreements for the future joint development and operation of undeveloped acreage.
In four separate transactions, represented a privately held oil and gas development company in a $250 million sale of producing gas properties; a six well, drill to earn Exploration and Development Agreement for deep gas in Texas; a five well, drill to earn, Exploration and Development Agreement for deep gas in Texas; and a Pipeline Construction and Operating Agreement for joint ownership, construction and operations of a field-wide gas gathering system.
In two separate transactions, represented a U.S. subsidiary of a Japanese energy company in the acquisition of producing properties in Louisiana.
Represented the seller in a $60 million sale of producing wellbores in the Arkoma basin of Oklahoma.
Represented a private equity fund in negotiating a Prospect Generation Agreement with a Fortune 500 energy company for developing off-shore oil and gas prospects in international waters.
In two separate transactions, represented a Fortune 500 energy company in a $140 million and $70 million acquisitions of coal bed methane and producing gas properties.
In three separate transactions, represented a U.S. energy company in negotiating long-term Service Agreements for the gathering, transporting and processing of gas produced in the Piceance Valley, Colorado across three separate pipelines.
Represented a private equity investor in the sale of a 120 mile midstream gathering system in north Texas and southern Oklahoma to a publicly traded MLP for cash and units.
Represented an offshore investor in a long term lease and construction agreement for three new oil storage tanks located in Cushing, Oklahoma.
Represented a private equity investor in negotiations of a long term Service Agreement for the gathering, transportation and disposal of produced water from Louisiana to Texas.
Represented the buyer of an ethylene production facility in Texas City, Texas and the subsequent sale-leaseback of an Acetic Acid Unit located within the fence line of the facility.
In three separate transactions, represented the buyer of three ethylene production and related pipeline facilities on the Texas Gulf Coast.
Represented the borrower in a $200 million borrowing base revolving loan secured by properties located in Oklahoma.
Represented the borrower in a $60 million borrowing base revolving loan secured by properties located in Oklahoma.
Represented the borrower in a construction financing loan for the construction of three oil storage tanks located in Cushing, Oklahoma.
Represented the investor in a second lien revolving debt and equity financing of a U.S. shipbuilder for new construction of three offshore platform delivery vessels.
Represented the lenders in a $200 million syndicated borrowing base loan to an exploration and production company.
Represented the borrower in a $140 million senior loan secured by three chemical production facilities in Texas.
Represented the lender in a $250 million production payment financing covering properties located in west Texas.
Represented the seller in a $100 million Fuel Supply Agreement for the acquisition, transportation and sale of jet fuel and diesel from Turkmenistan to U.S. forces in Afghanistan.
Advised client in matters relating to appearances before the Minerals Management Service to contest termination of offshore Gulf of Mexico leases.
Represented the U.S. subsidiary of an international refining and transportation company in the acquisition of land and permits for the development of a LNG re-gasification terminal on the Gulf Coast.
Advised a Fortune 500 company and developed materials for corporate compliance training of, and presentation to, managers of upstream oil and gas properties.
Represented an international drilling company in the acquisition of contract rights for the engineering, procurement and construction of a $500 million ocean going ultra deep drillship.
