G. Waverly Vest represents and counsels financial institutions, holding companies and their officers, directors and owners. He provides guidance in all areas of state and federal regulatory compliance; fiduciary responsibilities and liabilities; operational transactions, mergers and acquisitions; and public and private securities offerings of equity and debt.

Frequently retained in the face of complex circumstances, Mr. Vest has decades of experience in advising and representing clients in mergers, acquisition of branches, conversions and capital market transactions. He also has represented clients in the acquisition of failed or troubled banks and thrifts, and in enforcement actions such as civil money penalty actions, cease and desist and other administrative orders, appeals of examination results, termination of FDIC insurance actions and the like.

His experience includes chartering of de novo institutions, including the chartering of the first Internet national bank, and the election of Subchapter S status. Mr. Vest serves as lead counsel in the formation of holding companies for financial institutions, and counsels his clients in the expansion of operations through branches and subsidiaries, acquisition of control of financial institutions requiring prior approval, and the expansion of products such as insurance, securities and annuities.

Mr. Vest handles litigation involving claims against financial institutions and their officers and directors, including settlement negotiations with regulatory officials. He works with trade associations and banking agencies in connection with proposed rules and legislation impacting financial institutions, and is a speaker and writer on the legal issues of banks and the banking industry.
