Bracewell Represents Tallgrass Energy Partners Conflict Committee in Acquisition of Interest in Tallgrass Pony Express Pipeline

HOUSTON - Bracewell & Giuliani LLP represented the Conflicts Committee of the Board of Directors of the general partner of Tallgrass Energy Partners, LP (“TEP”) in its acquisition of an additional 33.3 percent interest in Tallgrass Pony Express Pipeline, LLC (“Pony Express”) for cash consideration of $700 million.  The transaction, which closed on March 2, 2015, increased TEP’s ownership interest in Pony Express to 66.7 percent.

Pony Express currently owns an approximately 698-mile crude oil pipeline commencing in Guernsey, Wyoming, and terminating in Cushing, Oklahoma, and is in the process of constructing an approximately 66-mile lateral in northeast Colorado that will interconnect with the Pony Express crude oil pipeline system.
