Bracewell Represents Evercore in Memorial Production Partners’ Acquisition of GP Interest and IDRs

HOUSTON – Bracewell LLP represented Evercore, financial advisor to the Conflicts Committee of the Board of Directors of Memorial Production Partners GP LLC (MEMP GP), the general partner of Memorial Production Partners LP (MEMP), regarding the acquisition of MEMP GP from Memorial Resource Development Corp. for $750,000 in cash. MEMP GP is the general partner of MEMP and holds the general partner interest and 50% of the incentive distribution rights (IDRs) in MEMP. As part of the transaction, MEMP will also acquire the other 50% of the IDRs held by Natural Gas Partners.
